Pennsylvania Annual Reports: What Businesses Need to Know for 2026 Filing

Beginning in 2025, Pennsylvania requires most domestic and foreign filing associations to submit annual reports to the Department of State, as mandated by Act 122 of 2022. This replaces the previous decennial report requirement.  Please note:  this filing is separate from the Federal Corporate Transparency Act filing that you have likely heard so much about.  Although implementation of the CTA has been suspended and it may become inapplicable to U.S. companies, the Pennsylvania filing is in effect and Pennsylvania entities must comply this year.

Annual Report Requirements

Each annual report must include:​

• Name and jurisdiction of formation.
• Address of the registered office or name and address of any commercial registered office provider.
• Name of at least one governor (e.g., director of a corporation or manager of an LLC).
• Names and titles of principal officers, if any.
• Address of the principal office, including street number, wherever located; and​
• State entity number or other identifier issued by the Department of State.

Filing Deadlines

The deadlines for filing annual reports are based on entity type:

• Corporations (business and nonprofit), domestic and foreign: January 1 – June 30
• Limited liability companies (LLCs), domestic and foreign: January 1 – September 30​
• Limited partnerships, limited liability partnerships, business trusts, professional associations, domestic and foreign: January 1 – December 31

Failure to file an annual report may result in the administrative dissolution, termination, or cancellation of the business registration, starting in 2027.

Filing Process

Beginning January 6, 2025, annual reports should be filed online at file.dos.pa.gov. Online filing is strongly recommended, as it ensures timely processing and reduces errors. Annual reports submitted online will be automatically approved, and filers can access the approved report within minutes.

Creating an Account and Filing Online

To file an annual report online, follow these steps:

1. Register an account for Business Filing Services (BFS):

• Go to the PA Business One-Stop Hub.
• Click on “Register” to create a new account.​
• Follow the prompts to complete the registration process.
• Log in to the BFS portal:
• After registering, log in at file.dos.pa.gov
• Search for your company:
• Use the “Business Search” feature to locate your company
• File the Annual Report:

• Click on the “File Annual Report” icon.​
• Complete the online form with the required information.​
• Pay the applicable fee by credit card.​

• Access the Approved Report:
• Once processed, the filed report and acknowledgment letter will be available for immediate download.​
